TTA: To Pay 3-Month Dividends At THB 0.025 Per Share, Seeks Shareholder Approval To Issue Up To THB 5Bn Debentures.

TTA's Board resolved to pay dividends for the three-month period of October to December 2014 at THB 0.025 per share and issue debentures for up to THB 5 billion to manage financial leverage and optimise shareholder value for shareholders approval at the Annual General Meeting of Shareholders No 2/2015, which will be held on Monday, 27 April 2015, in response to the change of the company's financial year end to December.

Mr. Chalermchai Mahagitsiri, President and Chief Executive Officer of Thoresen Thai Agencies Public Company Limited, or TTA, revealed the resolution of TTA's Board to pay dividends for the three-month period of 1 October 2014 to 31 December 2014 to shareholders whose names appear on the company's shareholders register book on 7 May 2015, resulting in closing the shareholders register book on 8 May 2015. Dividends will be paid on 22 May 2015 at THB 0.025 per share.

TTA's Board also resolved to propose the shareholders to consider and approve its plan to issue and offer debentures worth up to THB 5 billion, in one full amount or in separate offerings, for debt repayment and/or other purposes. The Board will be authorised to determine details of the debentures issuance plan as deemed appropriate.

"This is a move to secure early approval of the limit of debenture issuance. According to the plan, debentures can be issued from time to time, until the approved limit is reached. This will facilitate TTA's financial leverage management, especially in connection with the upcoming redemption in July of the existing debentures worth THB 2 billion. We believe that the proposed issue will enable us to implement our business expansion plan effectively," he said

Due to improved performances in all business segments, TTA has been assigned last November the company rating of BBB+. This will enable TTA to issue debentures and have greater access to a range of finance options with more favourable interest rate, through access to a wider set of investor groups.

PMTA: Offering Priced At THB 18 Per Share, Subscription Period 30 March And 3 April, First Day Trading In Late April.

PMTA will offer its Initial Public Offering (IPO) stock to Thoresen Thai Agencies Public Company Limited's (TTA's) eligible shareholders at THB 18 per share between 30 March and 3 April. The price reflects a price‐to‐earnings (P/E) ratio of 6.4x, well below PMTA's comparable 8.2x and the industry average of 13.2x. Such strong performance has led PMTA's management team to take pleasure in inviting TTA's eligible shareholders to preferential access to subscribe.

The Company has also put in place an oversubscription option at 20%, and is confident the offering will be fully subscribed. The Company noted that it is confident that satisfactory returns will be achieved due to growth potential of Baconco, a Vietnamese fertiliser producer and supplier, and revealed the completed expansion of Baconco's production lines to increase production capacity by 100,000 tonnes to meet growing demand from overseas.

At the announcement, Mr. Chalermchai Mahagitsiri, Chairman of PM Thoresen Asia Holdings Public Company Limited, (PMTA), revealed the progress of the PMTA listing on the Stock Exchange of Thailand (SET), stating that the Company has set the price of the shares being issued through the IPO at THB 18 per share. The fully diluted P/E ratio of the stock will be 6.4x, significantly lower than PMTA's comparable 8.2x and the average P/E ratio of 13.2x of peers in the petrochemical and chemical industries that are listed.

PMTA will offer a total of 35.42 million ordinary shares. 27.32 million will be existing shares to be offered by TTA, currently PMTA's sole shareholder, and 8.10 million will be newly‐issued shares to be offered by PMTA. Once the offering is completed, TTA's equity stake will be reduced to 65%. All the shares will be made available for subscription by TTA 's eligible shareholders according to their shareholding proportions, with a ratio of 1 PMTA share for every 37 TTA shares and with an oversubscription option of 20%. Share subscriptions and settlements are scheduled for 30 March to 3 April for eligible shareholders in TTA. Any shares that remain unsubscribed by existing shareholders will then be offered to the public on 20 – 22 April at the same price. It is expected that PMTA stock will be trading on SET in April...
